Terms of Service

Effective Date: September 14, 2026 • Version 1.0 (Master Subscription Agreement)

Legal Review Advisory: These Terms of Service are drafted specifically for Pochyaa's pre-payment audit software. Prior to public production launch, have this agreement reviewed and approved by qualified commercial technology counsel in your operating jurisdiction.

1. Agreement to Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between Pochyaa (“Pochyaa,” “we,” or “us”) and the corporate entity, company, or individual accessing or using our software platform (“Customer,” “you,” or “your”).

By redeeming an invitation code, creating an account, or using the Service, you represent that you have the legal authority to bind Customer to these Terms. If you do not agree to these Terms, you may not access or use the Service.

2. Invite-Only Beta Evaluation License

Pochyaa grants Customer a non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service during the beta evaluation period solely for Customer's internal business operations.

  • Invitation Requirement: Access is strictly restricted to authorized invitees possessing a valid, unexpired beta invitation code. You may not share, resell, publish, or transfer your invitation code.
  • Beta Nature: Customer acknowledges that the Service is currently provided in an invite-only beta status. While designed for institutional reliability, the Service is provided on an “AS-IS” and “AS-AVAILABLE” basis.

3. Customer Data & Intellectual Property

  • Customer Retains Complete Ownership: As between the parties, Customer retains all right, title, and interest in and to all vendor contracts, rate cards, purchase orders, invoices, and accounting data uploaded or submitted to the Service (“Customer Data”).
  • Limited Processing License: Customer grants Pochyaa a limited license to store, process, and analyze Customer Data solely to perform the audit services, calculate overcharges, and generate dispute memorandums.
  • Pochyaa Platform Ownership: Pochyaa retains all right, title, and interest in and to the Service, including the audit algorithms, matching engines, user interface designs, and all related intellectual property.

4. Pre-Payment Audit & Financial Advisory Disclaimer

CRITICAL OPERATIONAL NOTICE:

Pochyaa provides deterministic mathematical calculation, optical character recognition, and contract comparison software tools. Pochyaa is not a licensed Certified Public Accounting (CPA) firm, an accredited auditing firm, or a legal advisory practice.

The software identifies potential rate discrepancies, scope breaches, and calculation exceptions based solely on customer-provided contract rate cards and purchase orders. Customer remains solely responsible for all final payment authorization, invoice disbursement, and vendor relationship decisions.

5. Acceptable Use & Security Compliance

Customer agrees not to, and shall not permit any user to:

  • Reverse engineer, decompile, or attempt to extract the source code of the Service.
  • Attempt to breach or probe the tenant isolation boundaries of any other organization.
  • Introduce viruses, worms, Trojan horses, or malicious payloads through document upload channels.
  • Use automated scripts or scrapers to access the Service without written authorization.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL POCHYAA OR ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH THE SERVICE.

POCHYAA'S TOTAL AGGREGATE LIABILITY ARISING UNDER OR RELATING TO THESE TERMS SHALL NOT EXCEED THE TOTAL AMOUNTS ACTUALLY PAID BY CUSTOMER TO POCHYAA IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED UNITED STATES DOLLARS ($100.00 USD), WHICHEVER IS GREATER.

7. Term, Termination & Governing Law

Either party may terminate this agreement at any time upon written notice. Upon termination, Customer's right to access the Service terminates immediately, and Pochyaa will provide thirty (30) days for Customer to export Customer Data.

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law provisions.
